Master Service Agreement
Enterprise agreement governing subscription and professional services for qualified customers.
Carnegie Creations LLC, a Florida limited liability company, doing business as Governyxia™ ("Company," "we," "us," or "our")
Governyxia™ is a trademark of Carnegie Creations LLC.
1. Services
Company agrees to provide access to the Governyxia™ software-as-a-service platform and related support as ordered by Customer (the management company or enterprise entity executing an order form or online subscription). Features and service levels are as described in the applicable order or in-product documentation.
2. Customer responsibilities
Customer is responsible for: (a) the accuracy of data and content it and its users submit; (b) obtaining any consents required for communications (email/SMS) sent through the platform; (c) configuring access controls for its communities and staff; and (d) compliance with laws applicable to Customer's use of the Services.
3. Fees and payment
Fees, billing cycles, and taxes are as stated in the order or checkout flow. Payment processing may be handled by third-party providers (e.g., Stripe). Customer authorizes Company and its processors to charge applicable payment methods. Stripe descriptors and card statements may show Carnegie Creations LLC.
4. Confidentiality & data
Each party will protect the other's confidential information using reasonable care. Company will process personal data in accordance with its Privacy Policy and applicable data protection agreements where executed. Customer remains responsible for notices to end users as required by law.
5. Term & termination
The agreement continues for the subscription term and renews as specified in the order unless either party gives notice as permitted therein. Upon termination, Customer's access ends and data export may be available as described in documentation or the order.
6. Warranties & disclaimer
Except as expressly stated, the Services are provided "as is." Company disclaims implied warranties to the fullest extent permitted by law. Company does not provide legal, tax, or accounting advice.
7. Limitation of liability
To the maximum extent permitted by law, Company's aggregate liability arising out of this agreement will not exceed the fees paid by Customer for the Services in the twelve (12) months preceding the claim, except for liability that cannot be limited by law.
8. Governing law
This agreement is governed by the laws of the State of Florida, excluding conflict-of-law rules, unless a different governing law is required by mandatory law.
